Terms and Conditions for Suppliers
Effective Date: Thursday December 12th 2025
These Terms and Conditions ("Terms") govern your access and use of Civic Marketplace's platform ("Platform"). By registering as a Supplier, you agree to abide by these Terms, which supplement the terms of your agreement with the lead agency ("Agency Agreement").
Access to the Platform
- Authorization: Civic Marketplace provides Suppliers with a non-exclusive, limited right to access and use the Platform to connect with local government agencies ("Agencies") for procurement opportunities.
- Compliance: Your use of the Platform must adhere to these Terms, the Platform's usage guidelines, and all applicable laws.
Supremacy of Agency Agreement
- Your participation on the Platform is contingent upon adherence to the terms of your Agency Agreement.
- In cases of conflict between these Terms and your Agency Agreement, the terms of the Agency Agreement will prevail.
Supplier Obligations
- Accurate Information: Suppliers must provide and maintain accurate and up-to-date information on the Platform.
- Performance: Suppliers are solely responsible for fulfilling contracts awarded by Agencies, including compliance with contract terms and resolution of disputes.
- Notification: Suppliers must promptly notify Civic Marketplace of any awards or contracts secured through the Platform, as required under the Agency Agreement.
Fees and Payments
- Payment Obligations: Suppliers are required to fulfill all financial obligations, including fees or royalties, as stipulated in their Agency Agreement with the lead agency. Civic Marketplace reserves the right to enforce these obligations, including reviewing compliance through documentation or other methods.
- Invoice and Payment Terms: Any invoicing or payment processes related to transactions facilitated by the Platform will follow the terms outlined in the Agency Agreement. Suppliers are responsible for timely and complete payments as specified therein.
- Late Payments: Late payments may incur penalties as defined by the Agency Agreement. Civic Marketplace may suspend or restrict access to the Platform for unresolved payment issues.
- Non-Circumvention: Suppliers must not take actions to avoid or reduce fees due under the Agency Agreement. Civic Marketplace may investigate suspected non-compliance and take appropriate corrective actions.
Termination of Access
- Civic Marketplace reserves the right to suspend or terminate a Supplier's access to the Platform for:some text
- Non-compliance with these Terms or the Agency Agreement.
- Failure to meet payment obligations.
- Misrepresentation or activities detrimental to the Platform's integrity.
- Termination of access does not relieve Suppliers of obligations under their Agency Agreement.
Confidentiality
- Suppliers must protect the confidentiality of any information accessed via the Platform in line with their Agency Agreement.
- Civic Marketplace will take reasonable measures to secure information shared on the Platform.
Disclaimers and Limitations
- Platform Functionality: Civic Marketplace provides the Platform "as is" without warranties of uninterrupted or error-free operation.
- Liability: Civic Marketplace is not liable for actions or omissions of the lead agency or disputes arising between Suppliers and Agencies.
Governing Law
These Terms shall be governed by the same jurisdiction and laws stipulated in your Agency Agreement.
Amendments
Civic Marketplace may update these Terms to reflect changes in policy or Platform functionality. Suppliers will be notified of such updates and continued use of the Platform constitutes acceptance of the revised Terms.
